Commercial License Agreement

This agreement defines what you may build, how you may share access, and the terms that apply when you use the Next Starter source code.

This Commercial License Agreement ("Agreement") is a legal agreement between you ("Licensee") and Fuzesoft ("Licensor") for the use of the Next Starter source code, documentation, and associated files ("Software").

By purchasing, downloading, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not use the Software.

1. LICENSE GRANT

The Licensor grants the Licensee an ongoing, non-exclusive, non-transferable, worldwide license to use the Software, subject to the terms of this Agreement.

The Licensee may:

  • Use the Software to create unlimited end products for personal or commercial use.
  • Use the Software to build applications, websites, and SaaS products for the Licensee's own business or on behalf of clients.
  • Modify the Software to suit the Licensee's project requirements.
  • Deploy end products built with the Software to any hosting platform or infrastructure.
  • Use AI-assisted coding tools (such as GitHub Copilot, Cursor, or similar) in conjunction with the Software for the Licensee's own projects.

2. RESTRICTIONS

The Licensee may NOT:

  • Redistribute, resell, lease, sublicense, or otherwise transfer the Software or any portion of the source code to any third party.
  • Share the Software, repository access, or download files with any individual or entity that has not purchased their own license.
  • Use the Software to create a competing product, including but not limited to starter kits, boilerplates, templates, themes, or code generators.
  • Publish the Software or any substantial portion of it in a public repository, open-source project, or any publicly accessible location.
  • Use the Software or any portion of it as training data for machine learning models or artificial intelligence systems.
  • Claim authorship or ownership of the original Software.

3. OWNERSHIP

The Software is the intellectual property of Fuzesoft. This Agreement grants a license to use the Software, not a transfer of ownership. All rights not expressly granted herein are reserved by the Licensor.

4. UPDATES

The Licensee is entitled to receive all updates to the Software made available after the date of purchase, at no additional cost, for the lifetime of the product.

5. CONTRACTOR USE

The Licensee may allow contractors or freelancers to work on projects built with the Software, provided that:

  • The contractor is working directly on the Licensee's project.
  • The contractor does not retain a copy of the Software after the engagement ends.
  • The Licensee remains responsible for ensuring the contractor's compliance with this Agreement.

6. CLIENT WORK

The Licensee may build end products for clients using the Software. The end product delivered to a client may include compiled or deployed code. The client may not receive a copy of the original Software source code or use it to build additional products without purchasing their own license.

7. REFUND POLICY

Due to the nature of digital products, the Software cannot be refunded or exchanged once access has been granted.

8. TERMINATION

This Agreement remains in effect until terminated. The Licensor may terminate this Agreement immediately upon any breach of its terms. Upon termination, the Licensee must destroy all copies of the Software in their possession and cease all use.

9. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

10. LIMITATION OF LIABILITY

IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE USE OF THE SOFTWARE. THE LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE LICENSEE FOR THE SOFTWARE.

11. GOVERNING LAW

This Agreement is governed by the laws of the United States of America. Any disputes arising from this Agreement shall be resolved in the courts of competent jurisdiction.

12. ENTIRE AGREEMENT

This Agreement is the complete agreement between the parties regarding use of the Software. It supersedes all prior agreements and understandings, whether written or oral.
